Terms of Use.

Eligibility and User Accounts

To use the Platform, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements.

Customer Registration: Customers may create an account by providing accurate information, including a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Vendor Onboarding: Vendors must undergo an approval process to list products on the Platform. This includes submitting verifiable company registration documents from the relevant African jurisdiction (e.g., certificate of incorporation or equivalent). We reserve the right to verify these documents and may reject or suspend any Vendor application at our sole discretion. Approved Vendors must provide accurate business information, including contact details, product descriptions, and pricing.

You agree to provide truthful, current, and complete information during registration and to update it as necessary. We may suspend or terminate your account if we suspect any information is false, misleading, or violates these Terms.

Platform Role and Transactions

Qartt operates solely as a platform facilitating connections between Vendors and Customers. We do not own, sell, or control the products listed on the Platform, nor do we participate in the actual transaction between Vendors and Customers beyond providing the marketplace infrastructure.

Product Listings: Vendors are responsible for accurately describing their products, including details on origin, materials, pricing, shipping, and any applicable taxes or duties. All products must be locally sourced in Africa and comply with applicable laws in both the Vendor's jurisdiction and the United States.

Orders and Fulfillment: Customers place orders directly with Vendors through the Platform. Vendors are required to fulfill orders (including shipping the products to the Customer) before any payment is released to them. Qartt may hold payments in escrow until confirmation of fulfillment is received (e.g., via tracking information or Customer acknowledgment). Vendors must ship products within the timeframe specified in their listings.

Payments: All payments are processed through third-party payment providers integrated with the Platform. Customers agree to pay the listed price, plus any applicable shipping fees, taxes, or customs duties. Vendors will receive payment net of any Platform fees (as detailed in a separate Vendor agreement) only after order fulfillment is confirmed. We are not responsible for any payment disputes, chargebacks, or refunds outside of our no-returns policy.

No Returns Policy

Due to the nature of the products (locally sourced in Africa and shipped internationally), returns, refunds, exchanges, or cancellations are not permitted at this time. All sales are final. Customers are encouraged to review product descriptions, images, and Vendor ratings carefully before purchasing. Vendors must ensure products match their descriptions to avoid disputes. In the event of nondelivery or defective products, disputes will be handled per Section 9 below.

Shipping, Customs, and International Considerations

Vendors are responsible for shipping products to Customers in the United States. Shipping costs and estimated delivery times must be clearly stated in listings. Customers are responsible for any customs duties, import taxes, or fees imposed by U.S. authorities. Qartt is not liable for delays, losses, or damages during shipping, nor for any customs-related issues.

Intellectual Property

The Platform and all content, software, and materials are protected by intellectual property laws.

Your Content: By listing products or submitting content (e.g., descriptions, images), Vendors grant Qartt a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content on the Platform for promotional and operational purposes.

Qartt's Rights: The Platform, including its design, logos, and trademarks, is owned by Qartt Inc. or its licensors. You may not copy, modify, or use any part of the Platform without our prior written consent.

Infringement: You agree not to post content that infringes third-party intellectual property rights. We may remove infringing content and terminate accounts for repeat violations.

Prohibited Activities

You agree not to:

Use the Platform for any illegal purpose or in violation of applicable laws (including U.S. export controls, African trade regulations, or anti-money laundering laws).

List or purchase prohibited items (e.g., illegal substances, weapons, or counterfeit goods).

Engage in fraudulent activities, such as misrepresenting products, manipulating reviews, or using fake accounts.

Harass, spam, or impersonate others on the Platform

Interfere with the Platform's functionality, including through viruses, hacking, or excessive automated access

We may monitor activity and cooperate with law enforcement if we suspect violations.

User Content and Reviews

Customers and Vendors may post reviews, ratings, and comments. You are solely responsible for your content, which must be accurate and not defamatory. We do not endorse user content and may remove it at our discretion.

Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to such practices.

Dispute Resolution

Between Users: Disputes between Customers and Vendors (e.g., regarding product quality or delivery) must be resolved directly between the parties. Qartt may, at its discretion, facilitate mediation but is not obligated to do so.

With Qartt: Any disputes arising from these Terms will be resolved through binding arbitration in Delaware, USA, administered by the American Arbitration Association under its rules. You waive any right to class actions or jury trials.

Limitation of Liability

To the fullest extent permitted by law, Qartt, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill. Our total liability shall not exceed the fees paid by you to us in the preceding 12 months (or $100 if no fees were paid). The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify and hold harmless Qartt and its affiliates from any claims, losses, or damages arising from your violation of these Terms, misuse of the Platform, or infringement of third-party rights.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, including for violations of these Terms. Upon termination, your account and listings will be deactivated, but these Terms' survival provisions (e.g., liability, indemnification) remain in effect.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles

Miscellaneous

Severability: If any provision is held invalid, the remainder shall continue in full force.

No Waiver: Our failure to enforce any right does not waive it.

Entire Agreement: These Terms, along with any incorporated policies, constitute the entire agreement between you and us.
